These terms govern your use of Kōrero Tax ("the Service"), operated by NexArch Limited ("we", "us", "our"). By using the Service, you agree to these terms.
1. Service description
Kōrero Tax is a GST filing reminder service for New Zealand businesses. The Service connects to your Xero account to monitor GST return filing status and payment status, and sends email reminders about upcoming deadlines.
The Service is not tax advice. Kōrero Tax provides informational reminders only. You should consult a qualified tax professional for advice on your GST obligations. We are not accountants, tax agents, or financial advisors.
2. Accuracy of information
GST filing and payment status is determined using data obtained from the Xero API. This data is provided by Xero and we do not independently verify it. The accuracy of the information displayed in the Service depends on:
- The accuracy and completeness of data in your Xero account
- The correct coding of GST payments against account 820 in Xero
- The availability and correct functioning of the Xero API
Filing status is detected by checking published GST returns in Xero. Payment status is determined by matching bank transactions coded to the GST account against filed return amounts. These are heuristic-based checks and may not reflect the actual status of your filings with Inland Revenue.
We do not guarantee the accuracy, completeness, or timeliness of any information provided by the Service. You remain solely responsible for filing your GST returns and making payments to IRD on time.
3. Third-party dependencies
The Service relies on the Xero API to access your accounting data. We are not affiliated with, endorsed by, or a partner of Xero Limited. The Service may be affected by:
- Changes to the Xero API, including scope changes, rate limits, or discontinuation of endpoints
- Xero platform outages or maintenance windows
- Changes to Xero's developer pricing or terms that affect our ability to provide the Service
- Expiry of OAuth tokens if your account is inactive for more than 60 days
In the event of Xero API changes that affect the Service, we will make reasonable efforts to update the Service, but we cannot guarantee uninterrupted operation. There may be periods of reduced functionality or downtime while we adapt to changes.
4. Service availability
We aim to provide a reliable service but do not guarantee any specific level of uptime or availability. The Service is provided on an "as is" and "as available" basis. We reserve the right to modify, suspend, or discontinue the Service at any time with reasonable notice.
5. Limitation of liability
To the maximum extent permitted by New Zealand law:
- We are not liable for any late filing penalties, interest, or other charges imposed by IRD as a result of missed deadlines, whether or not the Service sent a reminder
- We are not liable for any loss arising from inaccurate information provided by Xero or displayed in the Service
- Our total liability to you for any claims arising from your use of the Service is limited to the total fees you have paid to us in the 12 months preceding the claim
- We are not liable for any indirect, consequential, special, or punitive damages
6. Pricing and payment
Personal accounts include a free trial period. After the trial, continued use requires a paid subscription. Firm account pricing is available on application. We reserve the right to change our pricing with 30 days' notice to your registered email address.
7. Your account
You are responsible for maintaining the security of your account credentials. For firm accounts, you are responsible for the accuracy of notification settings configured for your clients. You must have appropriate authorisation from any Xero organisation you connect to the Service.
8. Termination
You may stop using the Service at any time by disconnecting your Xero account and requesting deletion of your data. We may terminate your account if you breach these terms, with notice where practicable. On termination, we will delete your data in accordance with our Privacy Policy.
9. Changes to terms
We may update these terms from time to time. We will notify you of material changes via email to your registered address. Continued use of the Service after changes take effect constitutes acceptance of the updated terms.
10. Governing law
These terms are governed by the laws of New Zealand. Any disputes arising from these terms or your use of the Service are subject to the exclusive jurisdiction of the courts of New Zealand.
